  1. Definitions
  1. In this document:

‘Eligible User’ means a user of HSBC Group to whom the HSBC Now News app is made available, as determined by us from time to time in accordance with section 3 below.

‘HSBC Group‘ means HSBC Group Management Services Limited incorporated in England and Wales with company registration number 9231974 and whose registered office is at 8 Canada Square, London E14 5HQ, together with each of its subsidiaries and its associated third party service providers from time to time.

‘HSBC Now News app’ means the application to be downloaded from an app store onto a HSBC employee’s personal device. There will be a unique email code emailed to the HSBC employee’s HSBC email address which is to be inputted into the application to allow access to internal and public HSBC news.

‘Licensor’ means the third party licensor(s) from whom we licence the HSBC Now News app.

‘Service Providers’ means HSBC Group and our Licensor.

 “Submitted Content” means the information, materials, correspondence and other content uploaded or otherwise submitted to or communicated via the HSBC Now News app by you and other Users.

‘Terms and Conditions’ means the terms and conditions set out in this document.

‘User’ means an Eligible User (other than you) who has registered to use the HSBC Now News app.

‘we’, ‘us’, and ‘our’ are references to HSBC Group Management Services Limited, incorporated in England and Wales with company registration number 9231974 and whose registered office is at 8 Canada Square, London E14 5HQ.

you‘, ‘your‘ and ‘yours‘ are references to the eligible person(s) accessing or using the HSBC Now News app Any reference to:

  1. the singular includes the plural and vice versa;
  2. the words “include”, “includes” and “including” will be construed without limitation to the generality of the preceding words or to the words following;
  3. using” the HSBC Now News app includes logging into, accessing, viewing content on, uploading content, commenting and messaging on the HSBC Now News app;
  4. writing” includes email; and
  5. a “person” refers to a natural person
  1. Introduction
  1. The HSBC Now News app allows Eligible Users to access news content made up of, but not limited to; stories, videos, podcasts and images. Users will also be able to like content and leave comments..  The HSBC Now News app is operated by us, HSBC Group Management Services Limited.
  2. We may provide information regarding, or hyperlinks to, other, websites.  from  the HSBC Now News app. These may be subject to their own terms and conditions, privacy and cookie statements.
  3. Products and services (other than the HSBC Now News app) provided by any member of the HSBC Group may have their own terms and conditions which will be separate from these Terms and Conditions and which will form a separate legal agreement between you and that member of the HSBC Group.
  4. These Terms and Conditions include the terms and conditions in our Privacy Statement (including the Cookie Policy). Please also note that the HSBC Group provides financial products and services through its affiliates, companies and branches located across the world. Privacy and personal data protection principles vary from one country to another. When you access or link to a local app, please read the privacy statement issued by the local app to determine the policies that apply to information or data maintained by the local app.
  5. These Terms and Conditions are the entire agreement between you and us relating to the use of the HSBC Now News app and all previous agreements between you and us relating to its subject matter are superseded and extinguished.
  6. By using the HSBC Now News app you agree to be bound by these Terms and Conditions which govern the use of the HSBC Now News app. Before using the HSBC Now News app, you should read these Terms and Conditions carefully.
  1. Registration of Eligible Users
  1. In order to use the HSBC Now News app or one or more parts of it, you must be a registered user. You will become a registered user once you have opted in and consented to these Terms and Conditions (subject to section 3.3) and the Privacy Statement.  
  2. Registration for the HSBC Now News app is available to current employees who work for HSBC or a member of the HSBC Group. By registering with the HSBC Now News app externally, you are agreeing to these Terms and Conditions.
  3. Registration for the HSBC Now News app may be restricted to certain categories of Eligible Users located in particular jurisdictions, as determined by us from time to time. HSBC reserves the right to refuse registration and access to the HSBC Now News app at any time and for any reason whatsoever and to change the eligibility criteria at any time.
  4. By registering for the HSBC Now News app, you warrant that you are an Eligible User.  If you are not, you must not attempt to register for, or use, the HSBC Now News app, and we may refuse to register you and/or terminate your use of the HSBC Now News app in accordance with section 11 below.
  5. You must treat your verification code as confidential. You are solely responsible for the use of the HSBC Now News app by any person. You must inform us immediately of any unauthorised access to or use of the HSBC Now News app using your access credentials.
  6. We may disable any access credentials and/or suspend your access to the HSBC Now News app in the event that we suspect that an unauthorised person is attempting to access the HSBC Now News app using your access credentials.
  1. Access to the HSBC Now News app
  1. You acknowledge and agree that we may at any time withdraw or update any of the content, facilities, features or functionality offered by or via the HSBC Now News app without prior notice.
  2. We do not warrant, represent or guarantee that the HSBC Now News app, or any content on it (including but not limited to Submitted Content), will meet your requirements, be fit for purpose, or be available or uninterrupted at any given time.
  3. We provide no warranties, representations or guarantees regarding the accuracy, functionality or performance of any third party software that may be used in connection with the HSBC Now News app.
  4. We do not warrant, represent or guarantee that the HSBC Now News app will be secure or free from errors, bugs, viruses, or material which is malicious or technologically harmful, or that no damage will occur to your mobile device as a result of using the HSBC Now News app..
  1. Use of the HSBC Now News app
  1. The HSBC Now News app allows you to:
  1. create a personal profile; and
  2. curate your own news feed; and
  3. “like” and comment on stories
  1. Once you have successfully completed the verification process as a new user, you will be able to use the HSBC Now News app subject to these Terms and Conditions.
  2. . You acknowledge and agree that you will be solely responsible for, and we will have no involvement in or liability for, any actions which you take or comments you submit or agreements or other arrangements which you enter into with other Users, or which you take or enter into pursuant to your communication with other Users whilst using the HSBC Now News app.
  3. You acknowledge and agree that any information and materials provided via the HSBC Now News app, including Submitted Content and any information provided by the Service Providers, is provided on an “as is” and “as available” basis.
  4. We provide no warranties, representations or guarantees in relation to Users including, without limitation, their credit standing, reliability, reputation, suitability or the quality of any products or services they may offer.
  5. When using the HSBC Now News app, you will comply with all applicable laws and regulations and the requirements for Submitted Content set out in section 6.2 below, and you will not:
  1. act dishonestly or unprofessionally, including by posting inappropriate, inaccurate, or objectionable content;

  1. Create a false identity on site;
  2. Misrepresent your current or previous positions;
  3. Attempt to create a member profile for anyone other than yourself (a real person);
  4. Invite people you do not know to join the app;
  5. Use or attempt to use another’s account;
  6. Contact or attempt to contact Users of the HSBC Now News app for recruitment purposes;
  7. Harass, abuse or harm another person or act in an unlawful or otherwise objectionable manner;
  8. Send spam and other inappropriate communications to other users on the app;
  9. Disclose information that you do not have the right to disclose;
  10.  Violate or infringe our intellectual property or other rights of the HSBC Group, including, without limitation, using the word “HSBC” or our logos and branding in any business name, email, or URL except as provided in our brand guidelines and with the prior written consent of HSBC;
  11. Copy or use the information, content or data belonging to others and made available on the HSBC Now News app (except as expressly authorized);
  12. copy or use the information, content or data provided on or by the HSBC Now News app in connection with a competitive service;
  13. misuse the HSBC Now News app by introducing viruses, Trojans, worms, logic bombs, ransomware or other malware or material that is harmful whether maliciously, technologically or otherwise;
  14. attempt to gain unauthorised access to the HSBC Now News app;
  15. attempt to reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any part of the HSBC Now News app or any related technology;
  16. use bots or other automated methods to access or use the HSBC Now News app (including but not limited to such use for the purpose of compiling information on, or sending communications to, other Users);
  17. Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” the HSBC Now News app or any related data or information;
  18. link to the HSBC Now News app without our prior written permission, or engage in “framing,” “mirroring,” or otherwise simulate the appearance or function of any part of the HSBC Now News app; and
  19. interfere with the operation of, or place an unreasonable load on, any part of the HSBC Now News app.
  1. Submitted Content
  1. You will be responsible for ensuring that Submitted Content complies with section 6.2 below.
  2. Submitted Content must:
  1. be free from viruses, Trojans, worms, logic bombs, ransomware or other malware or material that is harmful whether maliciously, technologically or otherwise;  
  2. be accurate and up to date;
  3. not be abusive, discriminatory, threatening, obscene, offensive, inflammatory, libellous or defamatory;
  4. not constitute “spam”, “junk mail”, “chain letters”, “pyramid schemes”;
  5. not be sent or uploaded for the purpose of personal or commercial solicitation, advertising or marketing;
  6. not imply any recommendation or endorsement by us or any member of the HSBC Group (unless pre-authorised by us in writing);
  7. not infringe, or encourage or suggest the infringement by others of, applicable laws, regulations or the rights of any other person or organisation (including but not limited to intellectual property rights);
  8. not impersonate any other person or misrepresent your identity or affiliation with any other person; and
  9. not be damaging to any member of the HSBC Group or their reputation or brand
  10. complies with the HSBC Social Media Principles
  1. We will be entitled to determine whether any Submitted Content fails to comply with section 6.2, in our absolute discretion.
  2. You must ensure that you have all necessary rights, licences, consents and permissions prior to uploading or otherwise communicating any Submitted Content.
  3. The HSBC Now News app will include Submitted Content uploaded by you and other Users, and may include Submitted Content directed at you (such as comments in an article, public posts or endorsements of you). You should contact us immediately at mobile.news@hsbc.com    if you identify any Submitted Content that breaches these Terms and Conditions.
  4. Whilst we will use reasonable endeavours to moderate Submitted Content (as further described in section 7 below), you acknowledge and agree that:
  1. Submitted Content has not been verified or approved by us and we are unable to ensure the accuracy, currency, availability, correctness or completeness of it;
  2. the views and opinions expressed by other Users do not represent the Service Providers’ views or opinions; and
  3. We are not responsible for and will have no liability for any Submitted Content. Your attention is drawn to sections 6.1 and 6.2 above.
  1. Submitted Content will be considered non-confidential and non-proprietary and will be handled in accordance with these Terms and Conditions. You hereby grant a non-exclusive, transferable, sub-licensable, worldwide, irrevocable and unrestricted licence to the Service Providers to use, store and copy your Submitted Content in the manner permitted by these Terms and Conditions (including section 8 below).
  1. Moderation of Submitted Content
  1. We will use reasonable endeavours to moderate all Submitted Content, to ensure that it complies with these Terms and Conditions. However, we will not be liable for any failure to do so.
  2. We may reject and delete any Submitted Content without notice if, in our discretion, we consider that it breaches these Terms and Conditions or is otherwise inappropriate.
  3. We may edit and make formatting changes to your Submitted Content (including but not limited to translating it, modifying the size, layout or file type or removing metadata).
  1. Use of Submitted Content by Service Providers
  1. We may use, store, copy, process, publish and/or distribute your Submitted Content for the following purposes:
  1. to provide the HSBC Now News app;
  2. to moderate the Submitted Content in accordance with section 7 above;
  3. to enable other Users to access, Submitted Content;
  4. to comply with any applicable law or regulation or the order of any court or other authority of competent jurisdiction;
  5. to otherwise perform our obligations and exercise our rights under these Terms and Conditions; and
  6. to produce reports and statistics and analyse usage and trends (provided that we will use reasonable endeavours to ensure that any such reports and statistics will be in an anonymised format that does not identify you).
  1. We also have the right to disclose your identity to any third party who is claiming that any of your Submitted Content constitutes a violation of their intellectual property rights, right to privacy, or any other legal rights to which they are entitled.
  2. In addition to section 8.1 above, HSBC Group may use, store, copy, process, publish and/or distribute your Submitted Content in any external marketing or publicity materials prepared by the HSBC Group in connection with the HSBC Now News app or otherwise as permitted in any other agreement between you and a member of HSBC Group.
  3. If you submit any content that includes personal data (as defined in our Privacy Statement) such information will be processed in accordance with the terms of our Privacy Statement.
  1. Third party sites and endorsements
  1. Where we provide hypertext links to other locations on the internet, or to third party sites, we do so for information purposes only. You are responsible for deciding if you want to access or use third party websites, webpages, software or materials that link from the HSBC Now News app. We are not responsible for the content of any websites or webpages of third parties linked to or accessed from the HSBC Now News app, nor for the consequences of downloading any third party software or materials linked to or accessed from the HSBC Now News app. Following links to any websites or webpages of third parties or downloading third party software or materials is at your own risk and we will not be responsible or liable for any loss, damage, cost or expense incurred in connection with these actions.
  2. We don’t endorse, approve or take responsibility for the appropriateness of any third parties or their advice, opinions, products or services expressed or implied by any information provided by us via the HSBC Now News app, or from any third party websites or webpages.
  3. We are not responsible for the set-up of any link from a third party website to the HSBC Now News app.
  1. Intellectual property rights
  1. All rights, title and interest (including all intellectual property rights) in and to the HSBC Now News app are owned by us or licensed to us unless otherwise stated.
  2. HSBC and the hexagon logo are trademarks of the HSBC Group and all rights and benefits in them vest in the HSBC Group.
  3. The Licensor retains all rights, title and interest (including all intellectual property rights) in and to the hosting platform which hosts the HSBC Now News app and all of its proprietary technology, products and promotional materials.  
  4. Except as expressly permitted in these Terms and Conditions, you will not display, copy or reproduce the Service Providers’ trademarks, service marks, logos, branding or other intellectual property.
  5. You may use, print, copy, download or temporarily store extracts from the HSBC Now News app for your lawful use of the HSBC Now News app in accordance with these Terms and Conditions, or to help you use or apply for our products and services. The Service Providers’ status as the authors of content of the HSBC Now News app must always be acknowledged and you must not amend, remove, conceal, or obliterate any copyright or other proprietary notice. Any use of the content of the HSBC Now News app other than as permitted in these Terms and Conditions is prohibited unless you first obtain the Service Providers’ written permission.
  1. Termination and suspension of the HSBC Now News app
  1. We may refuse, suspend or terminate your right to use the HSBC Now News app and/or delete your profile and any of your Submitted Content with immediate effect and without notice:
  1. if, in our opinion, you have breached these Terms and Conditions;
  2. if you are not, or cease to be, an Eligible User;
  3. if we have reason to believe that you do not, or cease to have, authority to act on behalf of an Eligible User; or
  4. whenever we deem such action necessary in our absolute discretion.
  1. We may suspend, withdraw or restrict the availability of all or any part of the HSBC Now News app in our absolute discretion, including where we consider it to be desirable for business or operational reasons.
  2. You may deactivate your account in your account settings.
  1. No warranties

Except for any warranties, conditions and representations expressly contained in these Terms and Conditions, all warranties, conditions and representations, whether express, implied or statutory are, to the fullest extent permitted by law, excluded. You acknowledge and agree that you use the HSBC Now News app and any Submitted Content at your sole risk.

  1. Exclusion of liability
  1. To the fullest extent permitted by law, we (including the HSBC Group) will not be liable for any loss, damage, liability, cost or expense (whether arising in contract, tort, including negligence, or otherwise), arising out of or in connection with:
  1. your use or attempted use of the HSBC Now News app;
  2. your use of or reliance on Submitted Content or any other the information, products or services provided via the HSBC Now News app;
  3. your inability to use Submitted Content or any other information, products or services provided via the HSBC Now News app; and/or
  4. any failure, interruption, unavailability, delay, defect, error, or omission in the HSBC Now News app.
  1. The exclusions set out in section 13.1 above apply to all loss, damage, liability, cost and expense which are incurred, whether direct, indirect, special, incidental or consequential and whether or not we have been advised of or could foresee the possibility of the them being incurred.
  2. Nothing in these Terms and Conditions will exclude or limit our liability (including that of the HSBC Group) in relation to fraud or fraudulent misrepresentation, personal injury or death caused by negligence, or any other liability to the extent that it cannot be limited or excluded by law.
  1. Communications
  1. We may send you communications in connection with the HSBC Now News app from time to time, including for the purpose of notifying you of recent activity on the HSBC Now News app.
  2. You should not include any sensitive or confidential information in any communications sent via the HSBC Now News app.
  3. You acknowledge that communications sent over the internet (including e-mail) are not guaranteed to be completely secure as they are subject to possible interception, monitoring, delay, loss or alteration. We will not be responsible, or have any liability, for any interception or monitoring of communications by third parties or any delay or failure in transmitting communications, or loss or alteration of any communications, sent via the HSBC Now News app (whether by you, another User or by us).
  4. To help us improve the HSBC Now News app, moderate the Submitted Content, and in the interest of security, we may monitor and/or record any communications sent or received using the HSBC Now News app In addition, to help us improve our services more generally and in the interest of security we may monitor and/or record communications (whether over the internet, telephone or otherwise) between you and us. All recordings are our sole property. By using the HSBC Now News app, you consent to the monitoring and recording of your communications in accordance with this section.
  1. The provision of financial services or products
  1. The operation of the HSBC Now News app does not constitute an offer of any products or services provided by any of the HSBC Group.
  2. All products and services provided by members of the HSBC Group are subject to the terms and conditions and disclaimers of the applicable agreement governing their supply and use (“Product Terms and Conditions”). Where Product Terms and Conditions conflict with these Terms and Conditions in respect of a financial product or service, the Product Terms and Conditions shall prevail.
  3. You may navigate to other HSBC websites outside of the HSBC Now News app. Such other websites may be subject to their own terms and conditions which shall apply to your use of those websites.
  1. Miscellaneous
  1. Any notice to be given under these Terms and Conditions must be communicated by e-mail to the following address: (a) in respect of notices addressed to you, to the email address registered with your HSBC Now News app account, and (b) in respect of notices addressed to us, to mobile.news@hsbc.com, or in either case to any acceptable address for the service of notices notified to the sending party by the receiving party. Receipt of notice will be deemed to occur upon the earlier of: (a) actual receipt; (b) the receipt by the sender of confirmation of electronic transmission; or (c) two working days after deposit in the mail (a “working day” being a day other than a Saturday, Sunday or public holiday on which banks in London are open for business).  
  2. If any provision of these Terms and Conditions is held to be illegal, void, invalid or unenforceable by a court of competent jurisdiction then such provision will be deemed to have been deleted and the legality, validity and enforceability of the remainder of these Terms and Conditions will not be affected.
  3. We may revise these Terms and Conditions from time to time by amending this page. We reserve the right to change these Terms and Conditions at any time and for any reason whatsoever without notice. The updated terms and conditions shall be available for your review on the HSBC Now News app at all times. Changes to these Terms and Conditions will be binding on your future use of the HSBC Now News app from the date on which they are implemented.
  4. These Terms and Conditions are intended to be enforceable by us, each member of the HSBC Group and the Licensor.  No other third party will have any rights to enforce any of these Terms and Conditions.
  1. Governing law
  1. These Terms and Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation are governed by and are to be interpreted in accordance with the laws of England and Wales.
  2. The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or their subject matter or formation.
